These terms apply to all orders for Sandart products placed with PT Sandart Bali Trading. Our prices, minimum orders and payment terms are stated in the current price list, which is available on request.
Preliminary notice
Sandart products are made from natural materials and should not be placed in direct sunlight or exposed to water. The SANDART logo is a registered trademark of PT Sandart Bali Trading, and the product designs in our catalogue are copyright registered worldwide to PT Sandart Bali Trading.
1. Prices
1.1 Prices in the price list are net and do not include VAT.
1.2 Prices are ex works (EXW) and do not include transport or handling.
1.3 Orders are invoiced at the agreed prices or, if nothing was agreed, at the price list in effect when the order is completed. Prices stated by the buyer bind the seller only if the seller confirms them in writing.
1.4 International bank transfers below USD 2,000 per transfer carry a handling fee of USD 25.
2. Production times and force majeure
2.1 Production time starts when the down payment has reached the seller’s account, or has been paid in cash at our office, and is confirmed at that moment.
2.2 Production times may be extended by events beyond the seller’s control, including actions of third parties, equipment failure, shortage of supplies, strikes, war, natural disasters and government actions, also when they affect our suppliers. An extension gives the buyer no right to a discount or to damages.
3. Quantities and packaging
3.1 A repeat order is a new order, even if it relates to a larger order that is still in production.
3.2 Orders are placed in the multiples stated in the price list. A quantity that does not match the package size may be delivered in the next available package size.
4. Transport
4.1 Prices do not include transport, shipping and handling. The buyer collects the finished order at our premises in Bali and arranges shipping, export and import. We are happy to help you find a shipping agent.
5. Appearance and colours
5.1 Products and colours shown on screens, in print or in samples can differ from the delivered products because of screen settings, printing processes and the natural variation of the materials.
6. Promotional and customised products
6.1 Promotional and customised products carry trademarks, logos or designs supplied by the buyer.
6.2 The buyer guarantees that he owns these rights or has the exclusive right to use them, including for production, public performance and the places shown.
6.3 The buyer indemnifies the seller against claims by third parties about these products. During a dispute the seller may pause open orders or cancel contracts without liability to the buyer.
6.4 The seller can help to create artwork (see section 9 and the current price list).
6.5 The seller may keep copies, digital files, samples and materials for three years from the invoice date and may destroy them afterwards. Digital data may be deleted without the buyer’s consent.
7. Artwork approval
7.1 For custom designs made by the seller, a proof is sent by email free of charge before production. The buyer must check it carefully. After approval, errors that were visible on the proof are the buyer’s responsibility.
7.2 Colour variation as described in 5.1 also applies after approval of the artwork.
8. Products, packaging and trademarks
8.1 Changes to products or packaging need the seller’s prior written approval. The buyer may not change printed trademarks, use the products for anything other than resale, or add other markings or stickers.
9. Custom designs and packaging
9.1 The buyer pays for personalisation and custom design, unless the seller agrees in writing to bear these costs.
9.2 Help with artwork is available at the rates of the current price list. The seller holds the copyright to artwork made in-house or by its designers.
9.3 Packaging can be customised in graphics, language, text and colours, at the rates of the current price list. The SANDART logo and web address must stay on the packaging.
10. Minimum order
10.1 The minimum order is per design and differs per product. The minimum for each product is stated in the current price list.
11. Samples
11.1 Samples from the catalogue are available at the rates of the price list. The cost of samples may be credited against an order.
11.2 The seller may refuse questionable sample requests and limits samples to 5 items per customer.
11.3 For shipments outside Indonesia the buyer provides a UPS or FedEx international account number, so that duties and freight can be charged to it. A foreign document charge of USD 10 may apply.
12. Payment
12.1 A 50% down payment is due when the order is placed, by bank transfer or in cash at our office. The balance is due after production and before the order leaves our premises.
12.2 The seller must receive the full invoice amount. The buyer pays any bank charges, and any shortfall must be paid before the order leaves the warehouse.
12.3 Deposits on custom orders are not refundable.
13. Title and risk
13.1 Title passes to the buyer when the order is finished and the final invoice and packing list have been sent by email. The buyer is responsible for the accuracy and safety of the delivery address. The seller bears no forwarding costs.
14. Complaints and warranty
14.1 Products go through quality control before they leave our premises. After they have left, the seller gives no guarantee beyond that point. The buyer should have the products and quantities checked by his representative before they are handed to the shipping agent. Claims for material defects may be excluded if the products were not inspected as required.
